This End-User License Agreement (“Agreement”) is entered into by and between GRSOFT Structural Engineering (“GRSOFT”) and the user. For detailed company information and legal protection details, please refer to the Digital Protection Certificates issued by www.copyright.eu at Certificates 10175|13691, which includes the original company name and certificate number. If you do not agree to the terms of this EULA, you must not install, copy, or use the SOFTWARE PRODUCT.

By downloading, installing, or using the software, you acknowledge that you have read, understood, and agree to be bound by this End-User License Agreement (EULA).

GRANT
Subject to the provisions contained herein, GRSOFT Structural Engineering (herein “GRSOFT”) hereby grants you a non-exclusive license to use its proprietary software (“Software”), described as GRSOFT RC Ductility Designer, upon purchase. The Software is provided as a final version and is not available as a trial. In order to use the Software, you must purchase a license, at which point the license will be transferred to you. No license is granted herein without payment, and continued use of the Software without an active, purchased license is prohibited. Technical support is available to all licensed users.
SOFTWARE AND DOCUMENTATION
GRSOFT Structural Engineering (herein “GRSOFT”) shall furnish the Software to you electronically after purchase. The Software is provided in machine-readable object code form and will be delivered via download or other electronic means. This license allows the Software to be installed and used on only one computer at a time, referred to as a single-user per seat license. You are not entitled to receive a second copy for backup or archival purposes.
This license includes access to minor updates, such as bug fixes and small improvements, until the release of the next major version of the Software. However, it does not grant you rights to any future major releases. When a new major version of the Software is released, active users will have the option to upgrade at GRSOFT’s then-current pricing, terms, and conditions.
OWNERSHIP AND INTELLECTUAL PROPERTY RIGHTS
Title, ownership rights, and intellectual property rights in and to the Software and Documentation shall remain with GRSOFT Structural Engineering (“GRSOFT”) and/or its suppliers. This Agreement does not grant the right to copy or sublicense the Software and is personal to you. As such, it may not be assigned (by operation of law or otherwise) or transferred without the prior written consent of GRSOFT. You acknowledge that the Software, in its source code form, remains a confidential trade secret of GRSOFT and/or its suppliers, and you agree not to attempt to decipher, decompile, disassemble, or reverse engineer the Software, nor allow others to do so, except to the extent that applicable law specifically prohibits such a restriction. You further agree not to modify or create derivative works of the Software.
DISCLAIMER OF WARRANTY
The Software was written by engineers for engineers and was carefully tested. GRSOFT Structural Engineering (“GRSOFT”) strives to ensure that the Software will operate in substantial conformity with its applicable documentation. GRSOFT will provide updates to fix any errors that may arise. However, the Software is supplied “AS IS,” and GRSOFT disclaims all warranties, expressed or implied, including but not limited to the implied warranties of merchantability and fitness for any particular purpose. The user assumes the entire risk associated with using the Software. GRSOFT assumes no liability for damages, whether direct, indirect, special, incidental, or consequential, resulting from the use of the Software, even if GRSOFT has been advised of the possibility of such damages. This disclaimer of warranty constitutes an essential part of the Agreement. Some jurisdictions do not allow the exclusion of implied warranties, so this disclaimer may not fully apply to you, and you may have other legal rights that vary by jurisdiction.
LIMITATION OF LIABILITY
UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (INCLUDING TORT, CONTRACT, OR OTHERWISE) SHALL GRSOFT STRUCTURAL ENGINEERING, ITS SUPPLIERS, OR RESELLERS BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, EVEN IF GRSOFT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL GRSOFT’S LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE LICENSE TO THE SOFTWARE. THIS LIMITATION SHALL NOT APPLY TO LIABILITY FOR DEATH OR PERSONAL INJURY TO THE EXTENT THAT APPLICABLE LAW PROHIBITS SUCH LIMITATION. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so this limitation may not fully apply to you.
USAGE RESTRICTIONS ON VIRTUAL SYSTEMS
Prohibited Use in Virtual Environments The software, GRSOFT RC Ductility Designer, is designed and licensed for use solely on physical computer systems. Running the software on virtual machines, cloud-based environments, containerized solutions, or any other form of virtualized hardware or software emulation is strictly prohibited. This restriction applies to all forms of virtual systems, including but not limited to, VMware, VirtualBox, Parallels, and cloud-hosted services. GRSOFT retains the right to deny activation, access, or support for any instance of the software detected on a virtual system. Violation of this restriction will result in immediate termination of the license without refund, and may also lead to further legal action as permitted by applicable law. Purpose of Restriction This limitation is intended to ensure software stability, security, and compatibility as per the original design and testing standards intended for physical systems. Virtual systems may introduce untested variables, potentially leading to unpredictable performance, unauthorized distribution, or circumvention of licensing terms.
TERMINATION
Either party may terminate this Agreement immediately in the event of default by the other party. Upon any termination of this Agreement, you must immediately discontinue the use of the Software and, within ten (10) days, return to GRSOFT Structural Engineering (“GRSOFT”) all copies of the Software and Documentation, or permanently delete and destroy all copies in your possession. You may also terminate this Agreement at any time by destroying the Software, Documentation, and all copies thereof. Your obligations to pay any accrued charges and fees shall survive any termination of this Agreement.
EU CONSUMER RIGHTS
Cooling-off Period for Non-Activated Software If you have not yet downloaded or activated the Software, you may cancel your purchase within 14 days from the purchase date. Once the download or activation begins, the right to cancel is waived. This is because the Software becomes locked to your computer and cannot be returned or refunded after activation.
Activation and Non-Refundable Status By activating the Software, you agree that the Software will be tied to the specific computer on which it is installed, and the purchase becomes final. No refunds will be issued after activation, regardless of whether the license is later transferred to another computer.
License Transfer Policy The software license is tied to the computer on which it is activated. If you need to transfer the license to a new computer, you may use the self-service ‘Transfer License’ option, which allows you to complete the transfer independently at no cost. Alternatively, you can contact GRSOFT for assistance with a manual license removal process. Each license can be transferred once free of charge. Additional transfers will require special approval and may incur additional fees. Please note that refunds will not be granted once the software has been activated, even if the license is later transferred.
DISPUTE RESOLUTION AND JURISDICTION
In the case of a disagreement or conflict related to this EULA or the Software License, the Parties commit to open and constructive discussions to try and reach a fair resolution. Should these efforts not lead to a resolution acceptable to both Parties, further steps will be taken in line with the following jurisdiction terms. If an issue remains unresolved, any legal claims or disputes arising from this EULA, the Software, or the License will be handled by the courts designated in the Governing Law and Jurisdiction section. Where permitted by applicable law, both Parties agree that any necessary proceedings will take place within the jurisdiction of Slovenia / Ljubljana, unless GRSOFT provides written consent to an alternative location. It is also noted that Authorized Distributors are not permitted to modify the terms laid out in this section. Any proposed alterations to these terms in a Quote or Delivery Agreement must be pre-approved in writing by GRSOFT Structural Engineering.
MODIFICATION CLAUSE
GRSOFT reserves the right to update this EULA as necessary. Continued use of the software after any modification constitutes acceptance of the revised terms.
